If you do not agree, you must discontinue use immediately.

4. Account Registration

To access certain features, you may be required to create an account and provide accurate, complete, and updated information.

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

5. Acceptable Use

You agree not to use the Site or Services to:

Some customer communications may be handled by AI.

AI responses are generated using configured rules and data provided by clients.

Human review may be used to supervise, correct, or improve AI outputs.

You remain responsible for ensuring your use of AI complies with applicable privacy, marketing, and consumer protection laws.

SyncRise AI does not guarantee that AI-generated information will be error-free or suitable for every purpose.

8. Communications Compliance (TCPA / A2P)

By using SyncRise AI’s voice or SMS services, you agree:

You are solely responsible for obtaining and maintaining all legally required consumer consents under the Telephone Consumer Protection Act (TCPA), A2P 10DLC standards, and other applicable communication laws.

You will not use the Services to send unpermitted, deceptive, or abusive messages.

You will honor opt-outs immediately and maintain records of consent.

SyncRise AI may suspend or terminate your access if your communications violate carrier or legal requirements.

9. Marketing Email Compliance (CAN-SPAM)

If you use our systems to send marketing emails, you must:

Include a valid business address in each message.

Provide a clear unsubscribe link.

Honor all unsubscribe requests within 10 business days.

Avoid misleading or deceptive subject lines.

You are solely responsible for compliance with CAN-SPAM and similar laws.

10. Payment and Fees

Certain features or services may require payment. Fees are due as described in your service agreement or order form.

By providing payment information, you authorize SyncRise AI and its processors to charge you according to the agreed pricing.

All payments are non-refundable except as stated in your separate Client Agreement or Fulfillment Policy.

11. Third-Party Integrations

Our services may connect with third-party applications such as CRMs, communication platforms, or data tools.

We are not responsible for the content, functionality, or privacy practices of these third parties.

Your use of any third-party integration is at your own risk and subject to their respective terms.

12. Disclaimers

Services “As-Is.”

SyncRise AI provides the Site and Services on an “as-is” and “as-available” basis without warranties of any kind, express or implied.

We disclaim all warranties, including merchantability, fitness for a particular purpose, accuracy, or non-infringement.

We do not guarantee uninterrupted or error-free operation or specific results from using our services.

13. Limitation of Liability

To the fullest extent permitted by law:

SyncRise AI and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Site or Services.

Our total cumulative liability shall not exceed the total amount you paid to SyncRise AI for the service that gave rise to the claim during the three (3) months preceding the claim.

These limitations apply even if we have been advised of the possibility of such damages.

14. Indemnification

You agree to indemnify, defend, and hold harmless Two by Eleven, LLC, its officers, employees, and agents from any claims, damages, or expenses arising from:

Your use of the Services,

Your violation of these Terms,

Your misuse of AI systems,

Or your noncompliance with TCPA, A2P, CAN-SPAM, or other laws.

15. Termination

We may suspend or terminate your access at any time if we believe you have violated these Terms, engaged in fraudulent behavior, or created risk for other users.

Termination does not relieve you of payment obligations for services already rendered.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Maryland, without regard to conflict of law principles.

Any disputes arising under these Terms shall be resolved through binding arbitration in Maryland, conducted under the rules of the American Arbitration Association.

You fully waive any right to class actions or jury trials permitted by law.

17. Changes to These Terms

We may update these Terms periodically.

When changes are made, we will revise the “Effective Date” and post the updated version on our website.

Your continued use after such updates constitutes acceptance.

19. Entire Agreement

These Terms, together with our Privacy Policy, and any Client Service Agreement you execute, constitute the entire agreement between you and SyncRise AI regarding the use of our website and services.

If any provision is found unenforceable, the remaining provisions remain in effect.
